Overview

Big ideas need big investment...

Two Wolves Premium Canadian Ales is a privately held Canadian beer brand, contract manufacturer and licensed operator, with bases in Vancouver, Kelowna, Edmonton, Calgary, Winnipeg, and Regina. We are currently selling and distributing beer across these markets to over 650 retail locations, and growing. These sales are generated through relationships with government agencies in Manitoba and Saskatchewan (MBLL and SLGA), a licensee operator in British Columbia and Alberta, and strong regional corporate contracts, with companies like the Keg Restaurants.

We plan to expand our base of operations to the rest of Canada by the end of 2019, and then to international markets in the years to come, including: United States; Europe; Australia; and Asia. This expansion will be facilitated through the continued development of licensee relationships.

Two Wolves is also a company with a conscience. We are donating 5⊄ from the purchase of every can to wolf research and the preservation of wolf habitats in Canada. This is a cause that is close to our hearts and we are putting our money where it counts.

The company has raised $925,000 in shareholder equity and is looking now to raise an additional $450,000 in equity investment funds to be used for: further Canadian expansion; new high margin packaging materials; increased production; extensive marketing and advertising campaigns; international market research and opening of a web store.

We are excited to present our investment plan to you and help you learn how you can become part of our pack, so you can take advantage of all that this investment offers, including the unique opportunity to own part of national beer company.

Thank you,

David Chadwick, CEO + Co-Founder

Vancouver, BC; August 8, 2018

A Message from the CEO and Founder of Two Wolves Brewing

Two Wolves Brewing has entered into a licensing agreement with OP Brands Inc. OP Brands is now responsible for the brewing, packaging, sales and distribution of the Two Wolves brand in both provinces.

When asked how this will affect the Two Wolves business, David Chadwick (CEO and Founder of the company) commented, “On the surface, not too much.” “You will still be able to order your Two Wolves products the same way that you always have. In BC products will be carried and distributed through Container World, and in Alberta, our brand will still be available through Liquor Connect.” He went on to say that, “We (Two Wolves) expect to be able to provide higher levels of customer service and client engagement, as we continue to work directly with OP Brands and their partner company, West Coast Craft Beverages, in developing the markets.”

TWO WOLVES PREMIUM CANADIAN ALES AND THOMPSON SPIRIT WAY INC., JOIN FORCES

Vancouver, BC; July 30, 2018- Two Wolves Premium Canadian Ales and the Thompson, Manitoba Spirit Way Inc., have joined forces to work towards preventing the extinction of wolves in Canada.

Two Wolves Brewing is contributing5¢ from the purchase of every bottle or can across the country towards supporting the protection of wolf habitats and the education of the importance of wolves to our ecosystem. Thompson, Manitoba has recently been named the ‘Wolf Capital of the World’. The Spirit Way Foundation, together with the Boreal Discovery Center and Thompson Zoological Society, are cultivating tolerance and respect for wolves through education and eco-tourism.

David Chadwick, CEO and Founder of Two Wolves Brewing, says, “What Spirit Way is doing with wolf initiatives and promoting respect for wolves in Thompson is inspiring… Wolves were always very important to us, and we knew, when this business was started, that there was going to be a charitable component to it. Supporting the prevention of wolf extinction in Canada just made sense.”

“Manitoba has an estimated wolf population double that of the continental United States, without a lot of the tremendously controversial issues,” says Volker Beckmann of Spirit Way Inc. “Our vision is to position Thompson as a Wolf Centre of Excellence that values wolves as an ecological and economic asset for Canada, and strives for best practices in human and wolf co-existence in the fields of wolf education, science and research, eco-tourism, aboriginal culture, human dimensions and wolf management.”

“We are very excited about this new partnership,” says Chadwick. “One of our big concerns going into this venture was finding an organization that was 100% Canadian, supporting Canadian wolves and protecting Canadian habitats… This was very important to us as a company.” One of the goals of the Spirit Way Foundation is to build a wolf viewing and study center in conjunction with their Wolf Center of Excellence programming.

TWO WOLVES PREMIUM CANADIAN ALES, LAUNCHES NEW WEBSITE

Vancouver, BC; May 25, 2018- Two Wolves Premium Canadian Ales, is pleased to announce that it has launched a new website that better supports their growing business, across Western Canada. The website www.twowolvesbrewing.ca is a much cleaner, more user friendly site; that encompasses an interactive location map, new corporate sales and investment sections and a more 'phone friendly' viewing capability.

'The web is not what it used to be', say David Chadwick, founder of Two Wolves Brewing. 'Very few people actually view a website from a computer, these days. Most of our traffic comes from phone and other mobile devices, so the site needs to reflect that viewing capability'. The company also felt that limiting the number of 'clicks'  you have to engage to get to a specific page was key to the development of the new site, along with a focus on the brand and products.

As an exempt market dealer, Silver Maple can trade and underwrite exempt market securities. Exempt market securities are risky investments and you could lose all the money you invest in such securities.
In general, investment products sold in the exempt market are considered high risk because:
  1. They are not covered by deposit or investor protection insurance;
  2. Regulators do not review offering memoranda for completeness;
  3. Private issuers are not subject to the same ongoing disclosure obligations as reporting issuers;
  4. Private issuers may inadvertently, or advertently, refrain from providing an investor or a registered dealer, all the information required to make an informed investment decision.
  5. Many exempt products are not as liquid as publicly-traded securities and you may be restricted in your ability to sell or transfer these securities; and
  6. Exempt products are often subject to a greater degree of “key person” risk than more widely held securities.
  7. There can be no assurances that an investment will maintain its net acquisition value or produce any projected income or capital return. Investment values change frequently and past performances may not be repeated.
  8. Using borrowed money to finance the purchase of securities involves greater risk than a purchase using cash resources. If you borrow money to purchase securities, your responsibility to repay the loan and pay interest as required by its terms remains the same even if the value of the securities purchased declines. See “use of borrowed funds”.
The risks highlighted above are not conclusive. Risk disclosures specific for each offering are reviewed by SMV and are presented within an issuer’s profile page on the platform and within the offering memorandum or other offering documents for the issuance. Offering documents and the risks associated with the securities of an issuer contained therein should be reviewed thoroughly by an investor or an investor’s professional advisors before making an investment.
